Reporting to the Head of Investment, you will work closely with the business in advising on a variety of matters including :
- Investment into funds: review and comment on subscription documents, limited partnership agreements, SPC documents and draft ancillary letters and documents
- Asset management and fund formation: set up onshore and/or offshore segregated portfolio company (SPC) and to assist on affiliate funds. You will also review documents including PPM, addendum, advisory agreement, investment management agreement. You may also need to provide relevant training to the business.
- Other projects : coordinate and lead legal efforts on projects, including art loan, boat purchase, lease and consultancy agreement for celebrated chef
- Ad hoc in house matters : review and comment on term sheets, purchase and subscription documents, fund documents, and joint venture, shareholders and licence agreements, and draft agreements, ancillary letters and corporate authorisation documents
The Successful Applicant
The successful candidate will be a seasoned funds lawyer with at least 4 year's post-qualification experience, being seasoned in advising on a variety of matters including (but not limited to) the setting up of onshore and offshore portfolio companies, setting up of funds, and advising on investment into funds. You will negotiate and draft related documents, and ensuring compliance with local regulatory guidelines. Candidates who has in house exposure will be well regarded and those from private practice will also be considered. Both English and Chinese language skills are required.
